DMX, AEI MERGE

Dynamic Merger Brings Together Multimedia Music Companies, Consonants, Vowels

DMX Music and AEI Music Network today announced successful completion of their merger, creating an international, multimedia, e-business, music entertainment company.

The new company will deliver a wide variety of programmed, commercial-free music to businesses and homes around the world via the Internet, satellite and broadband networks. DMX is a subsidiary of Liberty Digital.

"This agreement combines two strong, profitable and complementary leaders in the rapidly growing digital music delivery industry," said Lee Masters, Liberty Digital President/CEO and former six million dollar man. "We believe the DMX/AEI Music combination offers tremendous growth opportunity both in the U.S. and internationally, and comes at a strategically important time in the evolution of digital media."

Under the agreement, Liberty Digital will own 56% of the newly formed company; AEI shareholders will hold the balance. The combined company will do business under the name DMX/AEI Music, pending a re-branding effort expected to be completed next year.

In conjunction with the merger announcement, the company announced its newly established Board of Directors. Michael J. Malone, founder and CEO of AEI Music, has been appointed chairman of the board. Other board members include: Masters; David Koff, senior vice president of Liberty Media; Jim Fifield, former CEO and president of EMI Music, Worldwide; and Peter Kern, president, Gemini Associates and former senior financial officer of Home Shopping Network.

The management team of DMX/AEI Music draws on the executive talent of both companies. Lon Troxel, president and CEO of DMX Music, has been named president and chief operating officer. Michael Matysik, formerly vice president finance, AEI Music, has been appointed executive vice president and chief financial officer, and Lance Ayrault, previously vice president international for AEI Music, has been named executive vice president of international operations. A new CEO and executive vice president of European operations are expected to be named shortly.

"The Internet has shown the world how important music is to people today," said new chairman Malone. "With the support of Liberty and its various partners, our new company and management team will capitalize on this market opportunity in both the residential and commercial marketplaces. We are taking this company up about five notches. I couldn't be more pleased or more excited about the future."
