MCINTYRE, CONROY TO LEAVE BMG POSTS

EVP/CFO And New Media/Marketing Exec To Step Down, Were Key Players In Zelnick-Dornemann Regime
Less than one week after Rolf Schmidt-Holtz was officially named BMG's President/CEO, two of the music group's top executives have stepped down.

Tom McIntyre, Exec VP/CFO, and Kevin Conroy, Chief Marketing Officer and President, New Technology, have resigned. Sources say McIntyre and Conroy were integral parts of the management team assembled by former toppers Strauss Zelnick and Michael Dornemann—and that with the latter two departing, it was expected that certain key executives would follow suit.

While no official replacements have yet been named, sources have informed HITS that David Kang, formerly of management group The Firm, will be taking on a high-profile position in BMG's New Technology division.

While McIntyre will relinquish his day-to-day CFO responsibilities effective immediately, his
resignation will be effective at the conclusion of BMG's pending negotiations with EMI, in which McIntyre is playing a leading role, the company said.

McIntryre, who has been with BMG since its formation in 1987, has held a number of high-level positions in finance and operations, most recently overseeing all of BMG's worldwide financial, information systems, legal and human resources operations and playing a key role in the company's strategic planning and business development. He was named to his current position in 1994.

During his tenure, McIntyre was instrumental in negotiating several key deals for BMG, including the company's interest in Zomba Records and joint ventures LaFace Records and J Records.

Conroy, who will exit his post Jan. 31, oversaw all corporate marketing and new media development for the company's businesses around the world.

In addition to being responsible for creating strategic alliances and marketing partnerships, he
developed BMG's strategies in the area of emerging technologies and multimedia. In this capacity Conroy structured the company's involvement in Internet-related activities and the development of new formats such as DVD.

Conroy had been vocal in his criticism of Napster prior to Bertelsmann chief Thomas Middelhoff's announcement of a pact between Bertie's E-Commerce Group and the popular but legally challenged file-swapping netco.

Prior to being named to his current position, Conroy served as Senior VP, Worldwide Marketing and New Technology. Before joining BMG Entertainment in 1995, Conroy was VP of Marketing for CBS/Fox Video, with overall responsibility for sports and fitness video business worldwide.
